GENERAL TERMS AND CONDITIONS OF SALE

All orders are subject to the acceptance of the following Terms and Conditions of Sale unless otherwise agreed between the parties.

Conditions of purchase

It is advisable to order via email to: order@bausol.com. After verification, a confirmation e-mail is sent back to you. It contains the detailed order sent to the manufacturer, as well as the payment and delivery terms. Note that the delivery time is always an estimate.

Without any objection from you, the order is approved and a deposit invoice is issued.

Prices

The prices laid down in the tariff are valid on the day of the order unless otherwise agreed between the parties. The tariff shall be revised every first of January. Prices are expressed in euros but calculated on a dollar basis. Any significant variation caused by the exchange rate, or any other unexpected and unavoidable event beyond our control and that of our manufacturers, may lead to a change in price, even during the year.

 

Terms of Payment

Payments are made by bank transfer to the account of RS COLLECTIONS sprl of the ING bank, rue du Fort 3 in B-4671 Blegny:

Payment terms

Unless otherwise specified on the commercial documents, a deposit of 50% of the total amount shall be required to start production, the balance being due on delivery, without discount. For a first order, the balance is payable before delivery. Failure to pay any of the instalments may result in the suspension of deliveries.

Cancellation/Change of order

For any cancelled order, the deposit of 50% of the total amount remains due and is non-refundable as long as the production has been started and the workers are expecting payment. Changes in size, quality, design and/or colour shall be accepted provided the manufacturer agrees and may incur costs depending on the progress of production.

Delivery

Belgium – France – Netherlands – Germany

Group delivery (several days):
Free of charge from 1,500 Euros excluding VAT/65 Euros for small amounts.
Direct delivery, by express transportation:
Carrier fees previously communicated for agreement.

Other countries

Delivery by air or sea: carrier fees previously communicated for agreement, goods delivered at the airport or port indicated at the time of the order.

Delivery by road: carrier fees previously communicated for agreement, goods delivered to the address indicated at the time of the order.

Taxes and import duties: To be paid by the holder of the purchase invoice presented to customs.

Installation

In the event of installation at the client’s premises, the following shall be communicated at the time of ordering: the address and floor, the presence or absence of a usable lift, the possibility of obtaining local assistance and the telephone number of a person in charge. The estimated cost shall be indicated on the order confirmation. Additional costs shall also be charged for unforeseen circumstances.

Delivery time

The standard delivery time shall be 14 weeks. This may vary depending on the size of the carpet and the complexity of the design. In case of urgency, a shorter delivery time can be discussed with the manufacturer, including any extra charges. Any shortage of materials, labour or looms shall be notified at the time of ordering.
The delivery time may be extended to withstand adverse events, such as wars, strikes, continuous rain, extreme temperatures, natural disasters, accidents, etc.
Once the goods leave the factory, they are handled by intermediaries such as carriers and customs authorities. Delays may occur in the delivery of goods, especially for large packages (>length of 4 metres).
Any unexpected event, beyond our control and responsibility, which results in a delay in delivery, shall not in any way lead to the cancellation of an order or the demand for special conditions relating to the delivery or the agreed price, nor shall it hold us liable for any loss or damage. In such cases, we are committed to keeping you informed regularly of the situation.

Tolerances

Our aim is to offer the best possible conformity of colour and size. Irregularities may be observed in the weaving as well as variations in dyes due to the handcrafted nature of the production process. Size tolerance shall not be less than 2%. Any shades in natural, undyed raw materials are attributable to the climate and the date of harvesting of the fibres.

Complaints

To be admissible, any complaint shall be submitted 10 days after delivery, supported, if necessary, by photographs. We guarantee that the products are in conformity with their intended use, and do not have any defects or hidden faults making them unsuitable for their normal use. It is the responsibility of the customer to check the packaging before signing the carrier’s delivery note and to mention any damage.

In the event of repair or replacement, the transportation costs shall be borne by us. If the goods have been installed at the end user’s premises, the method of collection and delivery, as well as the costs involved, are to be agreed. The returned goods shall be properly packaged. Claims arising from a lack of conformity are accepted within two years of delivery of the goods.

Reservation of ownership

We retain ownership of the goods sold until the full purchase price is paid. Failure to pay one of the instalments may result in the goods being reclaimed. These provisions do not prevent the transfer to the customer, at the time of delivery, of the risk of loss or damage to the purchased merchandise or of any damages that may be occasioned thereby.

Applicable law

Exclusive jurisdiction is deferred to the Courts of Liège notwithstanding any contrary provisions mentioned on the purchase order or in the correspondence of the purchaser. The abovementioned provision applies regardless of the place of delivery in the world.

Any order automatically implies the buyer’s acceptance of our General Terms and Conditions of Sale. The applicable law shall be the Belgian law.
